1. Introduction

Welcome to Larkpulse. These Terms and Conditions ("Terms") govern your use of the Larkpulse website (https://www.larkpulse.com) and the services provided therein (collectively, the "Service"). The Service is owned and operated by Leverage Works LTD, VAT reg number GB122873714, UK company reg number 07522644, Unit 10 80 Lytham Road, Preston, England, PR2 3AQ, UK registered in The United Kingdom.

By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

  • Service: The Larkpulse platform, including the website, software, APIs, and features that allow users to connect social media accounts, schedule and publish social media posts, view analytics, and generate social media post suggestions.
  • User: Any individual or entity accessing or using the Service.
  • Content: Any information, text, data, images, links, or other materials curated, processed, or generated through the Service, including social media posts, summaries, and insights.
  • User Content: Content provided or added by the User to the Service, such as social media posts created for scheduling, images uploaded for publishing, RSS feed URLs, or email newsletter connections.
  • Generated Content: Summaries, insights, social media post suggestions, or other content created by the Service's AI.
  • Connected Account: A third-party social media account (including X, LinkedIn personal profiles, LinkedIn company pages, Facebook, Threads, Instagram, YouTube, TikTok, and Pinterest) that a User has authorized Larkpulse to access via OAuth or similar authorization protocols.
  • Subscription: A recurring payment plan granting access to specific features.

3. Service Description

Larkpulse provides a Software-as-a-Service (SaaS) platform designed to help users manage their social media presence across multiple platforms. Key features include:

  • Connecting social media accounts from X (formerly Twitter), LinkedIn (personal profiles and company pages), Meta (Facebook, Threads, and Instagram), YouTube, TikTok, and Pinterest via secure OAuth authorization.
  • Scheduling and publishing social media posts to connected accounts.
  • Viewing analytics and performance metrics for posts published through connected social media accounts.
  • Generating AI-powered social media post suggestions based on aggregated content and user preferences.

The Service relies on third-party social media platform APIs to deliver its core functionality. The Service may also use third-party AI processing via Open Router, requiring users to provide their own Open Router API Key (BYOK) for AI features.

4. User Accounts

  • Registration: To access certain features, you may need to register for an account. You agree to provide accurate, current, and complete information.
  • Security: You are responsible for safeguarding your account password and for any activities under your account.
  • Eligibility: You must be at least 18 years old to use the Service.

5. Connected Social Media Accounts

To use the social media scheduling, publishing, and analytics features of the Service, you must authorize Larkpulse to access your social media accounts through the respective platform's OAuth or authorization process. By connecting an account, you grant Larkpulse permission to:

  • Access your profile information (such as name, username, and profile picture).
  • Publish content to the connected account on your behalf at times you specify.
  • Retrieve analytics, engagement metrics, and performance data for your posts.
  • Read and manage content as permitted by the platform's API and the permissions you grant.

Your Responsibilities

You are solely responsible for:

  • Ensuring that you have the authority to connect the social media accounts you authorize (particularly for company pages or organizational accounts).
  • All content published through the Service to your connected accounts, including reviewing scheduled posts before they are published.
  • Complying with each social media platform's terms of service, community guidelines, and acceptable use policies.
  • Managing the permissions granted to Larkpulse through each platform's third-party app settings.

Disconnection

You may disconnect any Connected Account at any time through your Larkpulse dashboard. Upon disconnection, Larkpulse will revoke stored authorization tokens and permanently delete all data associated with that Connected Account from our systems, including profile information, post data, and analytics. We also recommend reviewing your third-party app permissions within each social media platform's settings to confirm that access has been fully revoked.

Platform Changes

Social media platforms may change their APIs, terms, or authorization requirements at any time. Such changes may affect the availability or functionality of certain Service features. Larkpulse is not responsible for disruptions caused by changes made by third-party social media platforms.

6. Payment, Subscriptions, and Licenses

Larkpulse offers access via paid Subscriptions. Subscriptions are billed in advance on a recurring basis and automatically renew unless canceled. You agree to provide valid payment information. New purchases are covered by a 30-day refund policy. We reserve the right to change fees upon reasonable prior notice.

7. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for the User Content you add and the Generated Content you use. You must ensure that your use of Generated Content complies with all applicable laws, regulations, and platform policies. You acknowledge that once content is published to a third-party social media platform through the Service, it is subject to that platform's terms and policies.

You agree not to:

  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service for any illegal or unauthorized purpose.
  • Transmit any worms, viruses, or malicious code.
  • Infringe upon the intellectual property rights of others.
  • Overload or disrupt the Service or its infrastructure.
  • Use the Service to generate spam, hateful content, or misinformation.
  • Use the Service to violate the terms of service of any connected social media platform.
  • Attempt to gain unauthorized access to other users' accounts or connected social media accounts.

8. Intellectual Property

The Service and its original content, features, and functionality are the exclusive property of Larkpulse and its licensors. You retain ownership of your User Content and grant Larkpulse a worldwide, non-exclusive, royalty-free license to use it for providing the Service. Subject to compliance with these Terms, you generally own the Generated Content created for you.

9. Third-Party Services

The Service integrates with or relies on third-party services, including social media platforms (X, LinkedIn, Facebook, Instagram, Threads, YouTube, TikTok, and Pinterest), RSS feed providers, email services, and AI providers like Open Router.

Larkpulse is not responsible for the availability, accuracy, or reliability of these third-party services or the content they provide. The Service's ability to schedule, publish, and retrieve analytics depends on the continued availability and functionality of third-party social media platform APIs. Larkpulse does not guarantee uninterrupted access to these platforms and is not liable for outages, API changes, rate limiting, or other restrictions imposed by social media platforms.

10. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your personal data, including data obtained from your connected social media accounts. Larkpulse complies with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

Data from connected social media accounts is stored in accordance with the respective social network API policies. When you disconnect a Connected Account, all data associated with that account is permanently deleted from our systems. You can revoke Larkpulse's access at any time by disconnecting the account from your dashboard.

11. Disclaimers and Limitation of Liability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Larkpulse does not warrant that the Service will be uninterrupted, secure, or error-free. Larkpulse does not guarantee successful publishing to any social media platform, nor the accuracy of analytics data retrieved from third-party platforms. In no event shall Larkpulse's aggregate liability exceed the amounts paid by you in the six (6) months prior to the event giving rise to the claim.

12. Termination

You may terminate your account at any time by discontinuing use. We may suspend or terminate your access immediately for breach of these Terms. Upon termination, your right to use the Service will cease immediately and all Connected Accounts will be disconnected and associated data will be deleted. No refunds will be issued upon termination unless required by law.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice. By continuing to use the Service after revisions become effective, you agree to the revised terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of The United Kingdom. Any disputes shall be resolved exclusively in the competent courts located in The United Kingdom. Parties agree to attempt amicable resolution before initiating legal proceedings.

15. Miscellaneous

These Terms constitute the entire agreement between you and Larkpulse regarding our Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right will not be considered a waiver.
